Terms and Conditions
These Terms and Conditions ("Agreement") govern access to and use of the SightLine Direct B2B ordering portal (the "Portal") operated by SightLine Medical, LLC ("SightLine Direct", "we", "us"). The Portal is available exclusively to licensed eye care professionals and authorized practice entities (each, a "Practitioner"). By registering for or accessing the Portal, Practitioner agrees to be bound by this Agreement.
Eligibility and Account Registration
Access to the Portal is limited to licensed eye care professionals, including optometrists, ophthalmologists, and authorized staff of licensed practices operating in the United States. SightLine Direct reserves the right to verify credentials at any time and to deny or revoke access at its sole discretion.
To create an account, Practitioner must:
- Provide accurate and complete registration information, including practice name, NPI or license number, and a valid business email address.
- Maintain the confidentiality of account credentials and accept responsibility for all activity under the account.
- Notify SightLine Direct promptly at info@sightlinemedical.com of any unauthorized use or suspected security breach.
Accounts are non-transferable. Sharing login credentials with unauthorized individuals is prohibited.
Authorized Use
The Portal is provided solely for the purpose of placing wholesale product orders for resale or use within Practitioner's licensed practice. Practitioner agrees not to:
- Resell products through unauthorized channels, including general e-commerce marketplaces (e.g., Amazon, eBay, or similar third-party platforms) without prior written consent from SightLine Direct.
- Misrepresent product claims or uses to patients beyond what is supported by product labeling and approved communications.
- Use Portal content, pricing, or proprietary information for competitive analysis or to benefit a competing business.
Orders, Pricing, and Payment
Order Placement
All orders placed through the Portal are subject to availability and acceptance by SightLine Direct. Products are sold in case pack quantities only — minimum order quantity is one case pack per SKU. Case pack configurations vary by product and are specified on each product listing. Confirmation of an order in the Portal does not constitute a binding acceptance until Practitioner receives a written order confirmation.
Pricing
Prices displayed in the Portal are wholesale prices exclusive of applicable taxes, shipping, and handling unless otherwise stated. SightLine Direct reserves the right to modify pricing at any time with reasonable advance notice. Price changes will not affect confirmed orders.
Authorized Resale Policy
Products purchased through the Portal are authorized for resale directly to patients of the purchasing practice. Practitioners retain full discretion over in-office retail pricing. Resale through any online storefront, third-party marketplace, or digital channel — or to any party outside of a direct patient relationship — is prohibited. Unauthorized diversion of products outside the practice channel, regardless of pricing, may result in immediate suspension or termination of wholesale access.
Payment Terms
Payment is collected at the time of order via credit card through the Portal's secure checkout.
Taxes
Practitioner is responsible for all applicable sales, use, and excise taxes associated with purchases. SightLine Direct may request a valid resale certificate or tax-exempt documentation at any time. If valid documentation is not provided upon request, SightLine Direct reserves the right to charge applicable taxes on subsequent orders.
Shipping and Delivery
SightLine Direct will ship products to the practice address on file using carriers selected at our discretion. Free standard shipping is available on qualifying orders meeting the current threshold displayed in the Portal. Shipping costs for orders below the threshold will be calculated and displayed at checkout. Estimated delivery times are not guaranteed.
Risk of loss and title for products pass to Practitioner upon delivery to the carrier (F.O.B. origin). In-stock items are typically fulfilled within two business days. Allow up to seven business days for transit. SightLine Direct reserves the right to make partial shipments.
Practitioner is responsible for inspecting all shipments upon receipt and reporting any shortages, damages, or discrepancies to info@sightlinemedical.com within 5 business days of delivery. Claims submitted after this period may not be honored.
Returns and Refunds
Products may be returned only in accordance with this Return Policy. To initiate a return, Practitioner must contact SightLine Direct at info@sightlinemedical.com to obtain a Return Merchandise Authorization (RMA) number prior to shipping. Unauthorized returns will not be processed.
Return eligibility:
- Unopened, undamaged products in original packaging may be returned within 30 days of delivery for a full refund or credit.
- Damaged or incorrect shipments must be reported within 5 business days of receipt per Shipping and Delivery Policy.
- Products delivered in expired, temperature-compromised, or recalled condition — where the defect is attributable to shipping, handling, or manufacturing — may be returned per applicable procedures. Returns will not be accepted for product damage or expiration resulting from improper storage or handling by Practitioner after delivery.
- Returns will not be accepted for products delivered more than 90 days prior, or for products that have been opened, relabeled, or repackaged. If a quality or defect issue was not apparent at the time of delivery but is discovered during normal use within the 90-day window, Practitioner should contact us promptly upon discovery.
Product Compliance and Professional Responsibility
Products offered through the Portal are dietary supplements, cosmetics, and/or OTC drug products, each subject to applicable FDA regulations governing their respective category. SightLine Direct products are not intended to diagnose, treat, cure, or prevent any disease unless otherwise indicated on approved product labeling. Practitioner agrees to store and dispense products in accordance with labeled conditions and not to sell products past their expiration date.
Intellectual Property
All content available through the Portal is the property of SightLine Direct or its licensors and is protected by applicable intellectual property laws. Practitioner is granted a limited, non-exclusive license to use Portal content in support of their practice and patient relationships. Any reproduction, redistribution, or commercial use of Portal content outside of that purpose requires prior written consent from SightLine Direct.
Confidentiality
Practitioner agrees to treat as confidential all non-public information accessed through the Portal, including wholesale pricing, product formulation details, and promotional programs. Practitioner will not disclose such information to third parties without prior written consent from SightLine Direct, except as required by law.
Data Privacy
SightLine Direct collects and processes account and order data in accordance with its Privacy Policy, available in the Portal footer. SightLine Direct does not sell Practitioner data to third parties.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGHTLINE DIRECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR USE OF THE PORTAL.
SightLine Direct's total liability for any claim arising under this Agreement shall not exceed the total amount paid by Practitioner for the specific order giving rise to the claim.
Indemnification
This indemnification applies solely to products purchased by Practitioner through the Portal and resold directly to patients within Practitioner’s practice. It does not apply to patient-direct purchases made through SightLine Direct’s platform or any other channel not involving Practitioner. Practitioner agrees to indemnify, defend, and hold harmless SightLine Direct and its officers, directors, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable attorneys’ fees) arising out of: (a) Practitioner’s breach of this Agreement; or (b) Practitioner’s use or recommendation of products in a manner inconsistent with approved product labeling.
Term and Termination
This Agreement is effective upon Practitioner's registration and continues until terminated by either party. SightLine Direct may suspend or terminate access immediately for breach of this Agreement, violations of the Authorized Resale Policy, or conduct determined to be harmful to the Portal or other users. Practitioner may discontinue use of the Portal at any time. Upon termination, Practitioner's right to access the Portal ceases immediately.
Modifications to Terms
SightLine Direct reserves the right to modify this Agreement at any time. Practitioners will be notified of material changes via email or a notice displayed upon login. Continued use of the Portal following notice of changes constitutes acceptance of the updated terms.
Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Eugene, Oregon. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
General Provisions
- Entire Agreement: This Agreement, together with the Privacy Policy referenced herein, constitutes the entire agreement between the parties with respect to the Portal and supersedes all prior agreements or understandings.
- Waiver: Failure to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.
- Severability: If any provision of this Agreement is found unenforceable, the remaining provisions will continue in full force and effect.
- Notices: Legal notices to SightLine Direct should be directed to info@sightlinemedical.com or by mail to SightLine Medical, LLC, 87825 Upland Street, Springfield, OR 97478.
- No Agency: Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between the parties.
Acceptance
By registering for an account, placing an order, or otherwise accessing or using the Portal, Practitioner acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions. No handwritten or electronic signature is required — use of the Portal constitutes acceptance.
